Suite Directory Structure for the upgrade

Sorry if this is a dumb question, but I can't find a specific answer. I am running 3.5.4 and am going to upgrade to the 4.0 suite. I have full backups and a test site, so I am set.

I am currently running VBA CMPS and want to use the new CMS with VB. I don't care about bringing any of the VBA pages or content over, I just want my forums to get updated and end up with a blank CMS that I can configure my categories, etc from scratch.

So here's my question:

All of my VB files are in the root of my web server (admincp, includes, cpstyles etc). Where do I upload the upgrade files from the zip? Do I overwrite the files in the root, or do I put them in another folder and then delete them later? __DEFINE_LIKE_SHARE__
